Part A — General

1. About Aghosham

Aghosham ("we", "us", "our", "the Platform") is an online marketplace that connects people planning events with service vendors across Kerala and India. Aghosham is a discovery and enquiry platform — we are not a service provider, agent, or party to any transaction between a user and a vendor.

The platform serves all types of events — functions, corporate gatherings, social celebrations, and more. It is not limited to any specific event type or demographic.

2. Acceptance of Terms

By accessing or using Aghosham — whether as a visitor, registered user, or vendor — you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you must not use the platform.

We reserve the right to update these Terms at any time. Material changes will be communicated with at least 30 days' notice via the platform or email. Continued use after notice of changes constitutes acceptance.

3. No Agency Relationship

Aghosham is not an agent, representative, broker, or partner of any vendor listed on the platform. Aghosham does not endorse, guarantee, or take any responsibility for:

• The quality, safety, legality, or delivery of any service offered by a vendor
• The accuracy of any listing, description, pricing, or image
• The conduct or reliability of any vendor or user
• The outcome of any agreement reached between a user and a vendor

Any contract for services is formed exclusively between the user and the vendor. Aghosham is not party to that contract and bears no obligations under it.

4. Financial Transactions

Aghosham does not process, hold, facilitate, or take any responsibility for any money or payment transferred between users and vendors. All financial arrangements — including pricing, deposits, advances, balances, refunds, and dispute resolution — are agreed solely between the user and the vendor.

Aghosham expressly disclaims any liability arising from financial transactions between users and vendors, including but not limited to: non-payment, fraud, service cancellation, pricing disputes, and any losses incurred as a result.

5. Enquiry System — Not a Purchase Platform

The cart and checkout feature on Aghosham submits a grouped enquiry to the relevant vendor. This is not a purchase, booking, or payment. Submitting an enquiry does not create any binding contract, reservation, or guarantee of service. Vendors are free to respond, decline, or not respond at their sole discretion.

Many listings on the platform are priced on request. Any pricing shown is indicative and subject to confirmation by the vendor.

6. Intellectual Property of the Platform

All brand assets, logos, design, code, interface elements, and non-vendor content on Aghosham are the exclusive intellectual property of Aghosham and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Limitation of Liability

To the fullest extent permitted by law, Aghosham shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss arising from vendor-user transactions, service failures, listing inaccuracies, or platform downtime.

Aghosham's total aggregate liability to any party for any claim arising from use of the platform shall not exceed the total fees paid by that party to Aghosham in the three months immediately preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Aghosham and its officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform; (b) your violation of these Terms; (c) your content or listings; or (d) any dispute between you and another user or vendor.

9. Prohibited Conduct

You must not:

• Use the platform for any unlawful purpose
• Submit false, misleading, or spam enquiries
• Harvest or misuse vendor contact information for unsolicited communications
• Attempt to circumvent the platform to avoid paying applicable subscription fees
• Upload content that infringes third-party intellectual property rights
• Impersonate another person or entity
• Attempt to gain unauthorised access to any part of the platform

Aghosham reserves the right to suspend or terminate any account that violates these prohibitions, without notice and without liability.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the competent courts of Kerala, India.

Part B — For Users (Event Planners)

12. User Accounts

To submit enquiries or save listings, you must create an account using your mobile number. You are solely responsible for maintaining the confidentiality of your account and for all activity that occurs under it. If you suspect unauthorised use of your account, notify us immediately at [email protected].

13. Enquiries

When you submit an enquiry, the enquiry details (items, quantities, notes, and your contact information) are shared with the relevant vendor so that they can respond directly to you. Aghosham does not mediate or moderate the subsequent communication or negotiation between you and the vendor.

Submitting an enquiry does not create a binding booking, reservation, or obligation on the vendor's part to provide any service at any stated price.

14. User Content

Any content you submit to the platform (reviews, messages, feedback) is granted to Aghosham under a non-exclusive, royalty-free licence for display and moderation purposes. You represent that you have the right to submit such content and that it does not violate any law or third-party rights. Aghosham may remove any user content at its discretion.

Part C — For Vendors

15. Vendor Accounts & Approval

Vendor accounts are subject to approval by Aghosham at its sole discretion. Submission of a vendor registration does not guarantee approval. Aghosham may request additional information before approving an account and may reject applications without providing a reason.

An approved vendor account grants the right to list services on the platform subject to these Terms and any applicable subscription plan.

16. Catalogue Indexing

Regardless of your subscription tier, all listings published on Aghosham will remain visible and indexed on the main Aghosham platform. This is a fundamental condition of using the platform — catalogue indexing cannot be opted out of. Higher subscription tiers provide additional customisation and branding control over your store page; they do not remove your catalogue from the Aghosham index.

17. Listing Rules

Vendors are responsible for ensuring that all listings:

• Accurately describe the service offered
• Use genuine, original images (no stock photos presented as your own work)
• Comply with all applicable Indian laws and regulations
• Do not make false or misleading claims about pricing, availability, or credentials

Aghosham reserves the right to remove or suspend any listing that violates these rules without prior notice. Repeated violations may result in account termination.

18. Vendor Content & Intellectual Property Licence

By uploading images, logos, banners, listing descriptions, or any other content to Aghosham, you grant Aghosham a worldwide, royalty-free, non-exclusive, perpetual, sublicensable licence to host, display, reproduce, adapt, and distribute that content on the platform and in related promotional and marketing materials including social media and advertising.

You retain copyright ownership of the original content. This licence does not transfer copyright — it gives Aghosham the right to use the content to operate and promote the platform. You represent and warrant that you have the right to grant this licence and that your content does not infringe any third-party intellectual property rights.

19. Data & Telemetry Use

Aghosham collects usage and performance data about your listings — including views, click-through rates, enquiry volumes, and wishlist additions. This data is used to compute a rank score that determines how prominently your listings appear in search results. Telemetry data is aggregated and anonymised before any external use; no individual user-level data is disclosed to vendors.

Aghosham retains all rights to aggregated, anonymised platform data and may use it to guide business, product, and commercial decisions.

20. Subscriptions & Fees

Aghosham offers subscription tiers that grant progressively greater customisation, branding control, and visibility over your store page. Specific features and pricing for each tier are published on the platform and may be updated from time to time.

Aghosham reserves the right to change subscription pricing with at least 30 days' written notice. Continued use of the platform after the notice period constitutes acceptance of the new pricing. Fees paid are non-refundable unless required by law.

21. Vendor Termination

Aghosham may suspend or terminate a vendor account at any time for breach of these Terms, conduct detrimental to users or the platform, or legal compliance requirements. Upon termination, your store and listings will be removed from public view.

Vendors may request account closure at any time by contacting [email protected]. Following closure, your store page will be taken down; however, Aghosham retains the right to retain and use any content previously licensed under clause 18.
